Private Company limited by Shares

Generally, a private company is one which is stated in its memorandum to be a private company; it must by its Articles, restrict the transfer of shares and its total membership must not exceed fifty (50).

Procedure

(1) Application for approval of name (online)

(2) Duly completed incorporation forms (online)

(3) Payment of the registration fee and Stamp Duty online

(4) Provision of e-signatures by directors/shareholders to be uploaded against their respective names.

(5) Upload the following documents on the CRP:

i. E-signatures of directors/subscribers

ii. The means of identification of each director/subscriber

iii. Proficiency certificate (where applicable)

iv. Residence permit in case of resident foreigners

v. Duly signed and sealed resolution of the company authorizing the subscription where a company subscribes to the Memorandum and Articles of Association.

(6) Confirm registration status from your CRP dashboard or via email from CAC.

(7) Download certificate of incorporation and other documents from the CRP.
